STYLE BY SIM INNER CIRCLE MEMBERSHIP AGREEMENT

 

EFFECTIVE DATE: 24/03/2025

 

This Membership Agreement (the "Agreement") is entered into between Style By Sim, operated by Style By Sim ("Provider," "we," "us," or "our") and the individual or entity agreeing to these terms ("Member," "you," or "your").

 

1. MEMBERSHIP SERVICES

1.1 Membership Tiers and Services

The Provider offers the following membership tiers:

Silver Membership ($24.99 AUD/month) Monthly trend reports Live Q&A sessions Community access E-book library Style challenges.

Gold Membership ($44.95 AUD/month) All Essential features Personal styling questions (limited to 5 per month) Priority access to events and resources VIP exclusive resources

1.2 Service Modifications Provider reserves the right to modify, suspend, or discontinue any aspect of the membership services at any time with reasonable notice to Members. Significant changes to core services will be communicated via email at least 14 days before implementation.

 

2. MEMBERSHIP TERM AND PAYMENT

2.1 Subscription Term Membership begins on the date of your successful registration and continues on a month-to-month basis until terminated in accordance with this Agreement.

2.2 Fees and Payment

a) Membership fees will be charged on a monthly basis according to your selected tier.

b) All fees are payable in Australian Dollars (AUD) and are non-refundable except as expressly provided in this Agreement.

c) You authorize the Provider to charge your designated payment method for all fees incurred.

d) Provider reserves the right to change the membership fees with 30 days' advance notice.

2.3 Automatic Renewal Your membership will automatically renew each month unless you cancel at least 48 hours before your next billing date.

 

3. MEMBER OBLIGATIONS

3.1 Account Information You are responsible for:

a) Providing accurate and complete registration information

b) Maintaining the confidentiality of your account credentials c) All activities that occur under your account ​

3.2 Code of Conduct As a Member, you agree to:

a) Interact with other members and the Provider in a respectful manner

b) Not share access to membership content with non-members c) Not use the services for any illegal or unauthorized purpose d) Comply with all applicable laws and regulations

 

4. INTELLECTUAL PROPERTY

4.1 Ownership of Content All content provided through the membership services, including but not limited to text, graphics, logos, images, audio, video, and software, is owned by or licensed to the Provider and is protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License Provider grants you a limited, non-exclusive, non-transferable license to access and use the membership content for your personal, non-commercial use only.

4.3 Restrictions You may not:

a) Reproduce, distribute, publicly display, or create derivative works of the membership content

b) Remove any copyright, trademark, or other proprietary notices

c) Use the content for commercial purposes

d) Share access to the content with non members

 

5. TERMINATION

5.1 Termination by Member You may cancel your membership at any time through your account settings or by contacting style@stylebysim.com.au. Cancellation will be effective at the end of your current billing period.

5.2 Termination by Provider Provider may suspend or terminate your membership:

a) If you breach any provision of this Agreement

b) If you fail to pay any fees when due c) For any other reason with 30 days' notice

5.3 Effect of Termination Upon termination:

a) You will lose access to all membership services

b) Any fees paid are non-refundable

c) Sections that by their nature should survive termination shall survive

 

6. DISCLAIMERS AND LIMITATIONS

6.1 Service Provided "As Is" The membership services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

6.2 Style Advice Disclaimer All style advice, recommendations, and guidance provided through the membership services are for informational purposes only. Results may vary based on individual circumstances.

6.3 Limitation of Liability To the maximum extent permitted by law, Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the membership services.

 

7. PRIVACY

Your privacy is important to us. Please review our Privacy Policy at www.stylebysim.com.au/privacypolicy, which explains how we collect, use, and disclose information about you.

 

8. CHANGES TO AGREEMENT

Provider may modify this Agreement at any time by posting the revised Agreement on our website or by notifying you via email. Your continued use of the membership services after such changes constitutes your acceptance of the revised Agreement.

 

9. MISCELLANEOUS

9.1 Entire Agreement This Agreement constitutes the entire agreement between you and Provider regarding the membership services.

9.2 Governing Law This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles.

9.3 Dispute Resolution Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to mediation before resorting to arbitration or litigation.

9.4 Severability If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.5 Assignment You may not assign this Agreement without Provider's prior written consent. Provider may assign this Agreement at any time without notice.

By registering for a membership and using our services, you acknowledge that you have read, understood, and agree to be bound by this Agreement
